1. Agreement to Terms
By accessing and using ProductBrain (the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to any portion of these Terms, please do not use the Service. ProductBrain is provided by SignalMax Technologies (“Company,” “we,” or “us”).
2. Service Description
ProductBrain is a market intelligence and competitive analysis platform that provides real-time insights into competitive positioning, product strategy, and market dynamics. The Service is designed to support product managers, strategists, marketing professionals, and business leaders in making informed product and go-to-market decisions.
Our Service includes:
- Competitive intelligence analysis and market positioning insights
- Product requirement document (PRD) stress testing and validation
- Launch monitoring and competitive alert systems
- Weekly market briefs and signal analysis
3. User Accounts
To use ProductBrain, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts we believe violate these Terms.
4. Pricing and Credits
4.1 Credit-Based Pricing
ProductBrain uses a credit-based pricing model. Individual analyses (such as PRD stress tests, market positioning assessments, or competitive analyses) consume a specified number of credits. Pricing and credit consumption are detailed on our website and pricing page.
4.2 Plans
We offer multiple subscription plans, including Individual and Team plans. Each plan grants a specific monthly credit allocation. Credits expire at the end of each billing month and do not roll over unless otherwise specified in your plan.
4.3 Billing
Subscription fees are billed monthly in advance on the billing date you select. Billing information will be charged to the payment method you provide. You are responsible for keeping payment information current. If payment fails, we may suspend your Service until payment is received.
4.4 Refunds
Refund eligibility depends on the purchase type (per-use vs. monthly vs. annual), whether runs have been consumed, and whether a failure was caused on our side. The full policy is on our dedicated Refund Policy page. Cancellations take effect at the end of the current billing period.
5. Acceptable Use Policy
You agree not to:
- Use the Service for illegal purposes or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to the Service, systems, or networks
- Reverse engineer, decompile, or disassemble any portion of the Service
- Transmit viruses, malware, or any code of harmful nature
- Engage in automated data scraping or crawling without explicit permission
- Resell, redistribute, or transfer credits or accounts to third parties
- Violate the intellectual property rights of SignalMax or third parties
6. Intellectual Property Rights
6.1 Service & Content Ownership
ProductBrain, including all software, design, content, and data compilations, is the exclusive property of SignalMax Technologies and our licensors. All analyses, reports, and insights generated by the Service (“Service Content”) are owned by SignalMax. You receive a limited, non-exclusive license to use Service Content solely for your internal business purposes.
6.2 Your Content
You retain ownership of any data, documents, or information you upload or input into ProductBrain (“Your Content”). By submitting Your Content, you grant SignalMax a non-exclusive, worldwide license to use, process, and analyze Your Content to provide the Service, improve our algorithms, and develop new features. We will not share Your Content with third parties without your explicit consent, except as required by law.
6.3 Feedback
Any feedback, suggestions, or feature requests you provide may be used by SignalMax at our sole discretion without obligation or compensation to you.
7. Data and Privacy
Our Privacy Policy governs the collection, processing, and use of your personal data. By using ProductBrain, you consent to our Privacy Policy. The Service collects and analyzes publicly available competitive intelligence, market signals, and company data to provide market analysis. We do not share personal user account information with third parties except as required by law or as explicitly described in our Privacy Policy.
8. Limitation of Liability
To the fullest extent permitted by law, SignalMax and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, arising out of or in connection with the Service, even if advised of the possibility of such damages.
SignalMax’s total liability to you for all claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or $100 if you have not paid anything.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind. SignalMax disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
ProductBrain provides analysis and insights based on available market data and signals. While we strive for accuracy, we do not guarantee that all analyses, competitive data, or market signals are completely accurate, comprehensive, or free from errors. You should not rely solely on ProductBrain for critical business decisions without independent verification.
10. Service Modifications and Downtime
We reserve the right to modify, suspend, or discontinue the Service or any portion thereof at any time, with or without notice. We are not liable to you for any modifications, suspensions, or discontinuations. We will use reasonable efforts to minimize service disruptions, but we do not guarantee uninterrupted access.
11. Termination
You may terminate your account at any time by submitting a request to support@product-brain.com. We may terminate or suspend your account immediately if you violate these Terms or engage in behavior we reasonably believe to be harmful to the Service or other users. Upon termination, your access to the Service and any remaining credits will cease.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration under the American Arbitration Association (AAA) rules, held in Wilmington, Delaware, except that either party may seek equitable relief (injunctions) in court.
By using ProductBrain, you waive the right to a jury trial and any right to participate in a class action lawsuit.
13. Indemnification
You agree to indemnify, defend, and hold harmless SignalMax, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms, your misuse of the Service, or your infringement of any intellectual property rights.
14. Changes to These Terms
We may update these Terms at any time. Material changes will be posted to www.product-brain.com/terms with a notice of the change date. Your continued use of the Service after changes indicates your acceptance of the updated Terms. If you do not agree to changes, you may terminate your account.
